01 // ENGAGEMENT & MILESTONES

All projects follow a milestone-based delivery model. Execution commences only after a formal kick-off, mandatory advance payment, and mutual agreement on a written technical brief defining scope and deliverables.

02 // DOCUMENTATION & SCOPE

Deliverables are strictly limited to those committed during initiation. Any additional reports, simulations, or revisions not defined in the original brief are treated as out-of-scope and charged at prevailing professional rates.

03 // CHANGE REQUESTS & ACCEPTANCE

Requirements are considered frozen once finalized. Post-finalization changes require a formal change request. Milestones are deemed technically accepted if no written feedback is received within five (5) business days.

04 // DESIGN ENVIRONMENT RESPONSIBILITY

Clients must provide a stable, accessible design environment (licenses, libraries, tools). Time spent troubleshooting client-side environment issues or integration conflicts is chargeable and may impact schedules.

05 // CLIENT RESPONSIBILITIES

Clients are responsible for providing complete requirements, ensuring timely reviews, and maintaining regulatory/manufacturing compliance unless explicitly contracted otherwise.

06 // INTELLECTUAL PROPERTY

Client-funded deliverables are owned by the client upon full payment. However, pre-existing tools, templates, and methodologies remain the exclusive property of Kinetic Hardware Labs.

07 // CONFIDENTIALITY & NDA

All non-public technical and commercial data is treated as confidential. Where required, a Non-Disclosure Agreement (NDA) shall govern obligations, which survive project completion.

08 // DEFENCE, SPACE & EXPORT-CONTROL

Clients must confirm export-control and classification requirements. No controlled data shall be shared without written approval. We reserve the right to decline work involving restricted technologies.

09 // PAYMENT TERMS & SUSPENSION

Advance payment is mandatory. Failure to meet milestone payments may result in the suspension of work or withholding of deliverables. All payments are non-refundable once work has commenced.

10 // LIMITATION OF LIABILITY

Total liability is strictly limited to the fees paid for the affected project phase. We are not liable for consequential damages, production losses, field failures, or certification outcomes.

11 // WARRANTY DISCLAIMER

Deliverables are provided “as-is”. We provide no implied warranties of merchantability, fitness for a particular purpose, or regulatory approval unless agreed in writing.

12 // INDEPENDENT CONTRACTOR STATUS

Kinetic Hardware Labs is an independent freelancing platform and not a registered legal entity. Engagements do not create employment, partnership, or agency relationships.

13 // TERMINATION PROTOCOL

Either party may terminate with written notice. Completed work remains payable, and delivered milestones remain chargeable and non-refundable.

14 // FORCE MAJEURE

We are not liable for delays caused by events beyond reasonable control, including natural disasters, power failures, internet outages, or geopolitical restrictions.

15 // GOVERNING LAW & JURISDICTION

These terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of Kochi, Kerala.
